These Terms of Use (“Terms”) govern your access to and use of our website and any content, features, scheduling tools, forms, and media made available on it (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Who we are

MyStat Solutions helps businesses source and manage specialists and teams. Information on the Site is for general information and to help you contact us; all services are provided only under a separate written agreement (e.g., MSA/SOW) executed between you and MyStat.

2) Eligibility & account-free access

The Site is intended for use by individuals 18 years or older. We do not require user accounts to browse the Site. If you submit information on behalf of an organization, you represent that you have authority to bind that organization.

3) Permitted use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal, lawful business purposes, subject to these Terms.

4) Prohibited activities

You agree not to:

Use the Site for unlawful, harmful, or misleading purposes;
Submit or attempt to submit Protected Health Information (PHI) or other sensitive data;
Copy, scrape, harvest, index, or otherwise collect Site data by automated means not compliant with robots.txt;
Interfere with security or access features, probe or scan systems, or introduce malware;
Reverse engineer or attempt to derive source code except as permitted by law;
Misrepresent your identity or affiliation, or infringe others’ rights;
Resell, sublicense, or exploit the Site or its content for commercial use without our written consent.

5) Information you submit

When you send us inquiries (e.g., via forms or email), you agree that:

Information is accurate and does not contain PHI, payment card data, or other regulated data;
You grant MyStat a worldwide, royalty-free license to use, store, and process your submission solely to respond to your inquiry and for internal business purposes (e.g., quality assurance, recordkeeping);
Submissions are not confidential or proprietary unless a separate NDA is in place.

Our use of personal information is described in our [Privacy Policy] and [Cookie Policy], which are incorporated into these Terms.

6) Scheduling, quotes, and engagements

The Site may offer links or embeds to scheduling tools (e.g., Calendly) and form processors (e.g., FormSubmit). Meetings, estimates, or proposals initiated through the Site do not create a binding engagement. Any work, minimum terms, service levels, pricing, or deliverables are governed exclusively by a separate written agreement signed by both parties.

7) Third-party services & links

The Site may integrate or link to third-party services (e.g., Calendly, FormSubmit, Google services, hosted media). Those providers operate under their own terms and privacy policies. We do not control and are not responsible for third-party sites, services, or their practices.

8) Intellectual property

All content on the Site (text, graphics, logos, icons, videos, and compilations) is owned by or licensed to MyStat and protected by applicable IP laws. “MyStat Solutions,” our marks, and associated branding are trademarks of MyStat. Except for the limited license in Section 3, no rights are granted to you. You may not remove proprietary notices, nor use our marks without written permission.

9) No professional advice; informational only

Content on the Site is provided for general informational purposes and does not constitute legal, financial, medical, or other professional advice. Decisions made in reliance on Site content are at your own risk. Contact a qualified professional for specific advice.

10) Privacy, cookies, and tracking choices

Your use of the Site is subject to our [Privacy Policy] and [Cookie Policy], which explain what we collect (e.g., limited device/usage data via Google Analytics), how we use it, and your choices (including analytics opt-out where required). We do not sell personal information. Do not submit PHI through the Site.

11) International use

The Site is operated from the United States. If you access the Site from outside the U.S., you are responsible for compliance with local laws and acknowledge that your data may be processed in the U.S. and other countries with different data protection rules.

12) Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSTAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR RELIABILITY. We do not warrant that the Site will be uninterrupted, error-free, or secure.

13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSTAT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY RELATING TO THE SITE EXCEED US $100.

Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the fullest extent permitted.

14) Indemnification

You agree to defend, indemnify, and hold harmless MyStat from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site; (b) your submissions; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party rights.

15) Changes to the Site and to these Terms

We may modify or discontinue any part of the Site at any time without notice. We may update these Terms from time to time. The “Effective Date” above indicates when changes last occurred. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

16) Termination

We may suspend or terminate your access to the Site at any time and for any reason, including if we reasonably believe you have violated these Terms. Upon termination, Sections 5 and 8–19 will survive.

17) Governing law & venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of state and federal courts located in Illinois to resolve any dispute arising from or relating to these Terms or the Site.

18) Notices; electronic communications

By using the Site, you consent to receive communications from us electronically. You agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

19) Miscellaneous

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
Entire agreement: These Terms, together with our [Privacy Policy] and [Cookie Policy], are the entire agreement between you and MyStat regarding the Site.
